Terms of Service

This document describes the terms under which Mywacc SpA ("we", "MyWacc") provides its financial analysis platform ("the Service") to users ("you").

1. Nature of the Service

MyWacc is a software platform that helps CFOs, founders, and investors structure and visualize financial analyses over their own companies or companies of interest. The Service:

• Processes financial statements (manual entry, Excel/PDF import, or syncing from ERPs authorized by the user).
• Computes valuations, multiples, sensitivities, and projections from the data provided.
• Surfaces findings and metrics; it does not constitute financial, legal, tax, investment, or audit advice.

Business or investment decisions you make based on the Service are your sole responsibility.

2. Account and access

To use the Service you must register an account with a valid email. You are responsible for keeping your credentials confidential and for actions taken under your account.

3. Connections to third-party systems (ERPs)

The Service lets you connect third-party accounting systems (QuickBooks Online, Odoo, and others). When you authorize an OAuth connection:

• You authorize us to read financial statements, accounts receivable and payable, and associated data of the entity you connected.
• We store access tokens solely to maintain the sync; we do not share your data with third parties except as needed to process the analysis you request.
• You may disconnect access at any time from the provider's control panel (e.g., within QuickBooks Online) or by contacting support.

4. Acceptable use

You agree not to:

• Connect third-party accounts without authorization from the legal owner of those accounts.
• Upload data that infringes third-party intellectual property or privacy rights.
• Attempt to access, reverse-engineer, or disrupt the Service's infrastructure.
• Use the Service for illegal, fraudulent activities, or activities that violate applicable regulations.

5. Intellectual property

The Service (including software, design, algorithms, and documentation) is owned by Mywacc SpA. Data uploaded by you remains your property; the Service receives a limited license to process it and display the derived analyses.

6. Limitation of liability

The Service is provided "as is" without explicit or implied warranties. To the maximum extent permitted by law:

• We are not liable for business or investment decisions made based on outputs from the Service.
• We do not guarantee the absolute accuracy of calculations derived from data provided by you or by connected systems.
• Our maximum liability for any claim is limited to the amount you paid in the 12 months prior to the event giving rise to the claim.

7. Changes to the Service and these Terms

We may modify the Service or these Terms at any time. We will notify active users by email of material changes at least 30 days before they take effect.

8. Termination

You may close your account at any time. We may suspend or terminate accounts that violate these Terms, with or without prior notice depending on severity.

9. Governing law and jurisdiction

These Terms are governed by the laws of Chile. Any dispute will be submitted to the competent courts of that jurisdiction.
